1. Agreement
These Terms and Conditions (the "Agreement") constitute a legally binding agreement between Indo US Technologies (referred to as "we," "us," "our," or "Indo US Technologies") and the customer (referred to as "you,"
"your," or "customer").
2. Services
2.1. Indo US Technologies will provide the customer with software and IT services as specified in the service agreement.
2.2. The scope of services, deliverables, and payment terms will be outlined in the service agreement or statement of work (SOW).
3. Payment and Billing
3.1. Payment terms are outlined in the service agreement. You agree to pay all fees and charges in a timely manner as specified.
3.2. Payment may be required in advance or according to agreed-upon milestones.
4. Cancellation & Refund Policy
4.1. Cancellation by the Customer
4.1.1. If you need to cancel your order or service, please contact us as soon as possible to initiate the cancellation process.
4.1.2. Cancellation requests are subject to the terms and conditions outlined in your service agreement or statement of work (SOW).
4.1.3. Depending on the timing and nature of the cancellation, cancellation fees, domain & hosting charges and service charges may apply. Please refer to your specific agreement for details.
4.2. Cancellation by Indo US Technologies
4.2.1. Indo US Technologies reserves the right to cancel a service or order in exceptional circumstances, including but not limited to force majeure, unavailability of resources, or breach of contract by the customer.
4.2.2. In the event of cancellation by Indo US Technologies, you will be notified as soon as possible, and any applicable refunds or alternatives will be discussed in accordance with your service agreement.

5. Term and Termination
5.1. The term of the Agreement is as specified in the service agreement or SOW.
5.2. Either party may terminate the Agreement for cause by providing written notice if the other party fails to fulfill its obligations as outlined in this Agreement.
6. Intellectual Property
6.1. All intellectual property rights associated with software or services provided by Indo US Technologies remain the property of Indo US Technologies unless otherwise specified in writing.
7. Confidentiality
7.1. Both parties agree to keep confidential information shared during the course of the Agreement, including but not limited to business information, trade secrets, and proprietary information.
8. Warranty and Support
8.1. Indo US Technologies provides services in a professional and workmanlike manner. We do not guarantee that the software or services will be error-free.
8.2. Support and maintenance terms, if applicable, will be outlined in the service agreement or SOW.
9. Limitation of Liability
9.1. Indo US Technologies will not be liable for any direct, indirect, incidental, or consequential damages resulting from the use of our services or software.
10. Indemnification
10.1. You agree to indemnify and hold Indo US Technologies harmless from any claims, damages, or liabilities arising from your use of our services.
11. Governing Law and Jurisdiction
11.1. This Agreement shall be governed by and construed in accordance with the laws of Telangana, India.
12. Entire Agreement
12.1. This Agreement, along with the service agreement or SOW, constitutes the entire agreement between the parties.
13. Modification and Waiver
13.1. Any changes to this Agreement must be in writing and signed by both parties. Failure to enforce any provision of this Agreement shall not constitute a waiver of that provision.
